TRADE FEDERATION — FOUNDING MEMBER ADDENDUM

This Founding Member Addendum (this
“Addendum”) supplements and forms part of the Trade Federation Member Terms of Service (the “Agreement”) between Trade Federation, LLC (“Trade Federation,” “Company,” “we,” “us,” “our”) and the undersigned Member (“Founding Member,” “you,” “your”).

Capitalized terms not defined in this Addendum have the meaning set forth in the Agreement. If there is a conflict between this Addendum and the Agreement, this Addendum controls only with respect to Founding Members and only to the extent of the conflict. All other terms of the Agreement remain in full force and effect.


1. PURPOSE AND SCOPE OF FOUNDING MEMBER PROGRAM

1.1 Founding Member Status. The Founding Member Program is a limited, early-stage membership tier designed to help launch Trade Federation cohorts (each a “Cohort”) and refine the Services through Member participation, contribution, and feedback.

1.2 No Guarantee of Outcomes. Founding Member status provides early access and certain benefits as described in the Terms of Service Agreement, but does not guarantee business results, revenue, lead volume, exclusivity outside the Services, or market performance.

1.3 Term of Founding Member Designation. Founding Member designation may last for a defined period (e.g., “Founding Year”), or until Trade Federation ends the Founding Program, whichever occurs first, unless earlier terminated under this Addendum or the Agreement.


2. ELIGIBILITY, VERIFICATION, AND COHORT FIT

2.1 Trade and Territory Eligibility. Founding Member participation may be limited by: (a) trade category, (b) geographic territory availability, (c) minimum operating standards (e.g., licensing/insurance where applicable), and (d) verification of identity, business ownership, and trade operations.

2.2 Verification. You agree to provide reasonable documentation to validate eligibility (e.g., business registration, trade license, EIN, proof of service area, proof of insurance, website/branding assets, etc.). Failure to provide verification may result in delayed activation, limited access, or termination.

2.3 One Membership Per Business Entity (Default). Unless expressly approved in writing, Founding Member status is limited to a single business entity and may not be shared across affiliates, sister companies, or multiple brands.


3. FOUNDING MEMBER BENEFITS (DESCRIPTION AND LIMITATIONS)

3.1 Early Access / Priority Access. Founding Members may receive early access to: cohort portal features, shared playbooks and templates, beta tools, group buying offers, events, curated marketing assets, training content, and other offerings.

3.2 Founding Pricing and Rate Protection (If Offered).
(a) If your plan includes “Founder Pricing,” it may remain in effect for a defined period stated at checkout or in your plan description, upon acceptance.
(b) Rate protection applies only while your account remains in good standing (no late payment, no violation, no cancellation).
(c) If you cancel or your account is terminated for cause, Trade Federation may revoke Founding Pricing and require current pricing to rejoin.

3.3 Recognition and Badging (Optional). Trade Federation may (but is not required to) display a “Founding Member” badge or listing in member directories, cohort landing pages, leaderboards, or promotional materials, subject to Section 8 (Publicity/Name Use) and your preferences.

3.4 Feature Availability Not Guaranteed. Some Founding Member benefits may be modified, delayed, replaced, or discontinued as the Services evolve. Trade Federation makes no commitment that every previewed or discussed feature will be delivered on a particular timeline.


4. TERRITORY RESERVATION, EXCLUSIVITY, AND “FOUNDING PRIORITY”

4.1 Territory Reservation. If your plan includes territory reservation, Trade Federation will reserve your territory within your Cohort only while:
(a) your account remains active and paid, except during the Founding Program,
(b) you remain compliant with the Agreement and cohort rules; and
(c) you meet any minimum participation thresholds (if stated in your plan).

4.2 Territory Definitions; Good Faith Adjustments. Territories are defined by Trade Federation (e.g., DMA, counties, zip codes, radius). Trade Federation may refine boundary definitions as cohorts mature provided we act reasonably and in good faith and maintain the spirit of non-compete within the cohort.

4.3 Exclusivity Limits. Exclusivity applies only within the Trade Federation Services and the defined cohort context. It does not restrict outside competition nor guarantee outcomes.

4.4 Founding Priority and Waitlists.
(a) Founding Members may receive priority for renewals and territory retention.
(b) Trade Federation may maintain waitlists for territories; your territory may be released to the waitlist upon cancellation, nonpayment, or termination.

4.5 Non-Circumvention. You may not attempt to: (a) hold multiple territories under different entities without approval, (b) “park” territories without intent to participate, or (c) recruit a competitor into restricted areas to manipulate territory availability.


5. CONTRIBUTION EXPECTATIONS AND COMMUNITY DUTY OF CARE

5.1 Contribution-Driven Model. Trade Federation is designed as a contribution-driven community. As a Founding Member, you agree to contribute in good faith by sharing practical insights, feedback, and (where appropriate) selected materials that help the cohort.

5.2 Reasonable Contribution Standards. Trade Federation may establish contribution guidelines (e.g., posting frequency, participation in calls/events, template submissions, SOP submissions) as part of cohort rules. Such guidelines will be designed to be reasonable and practical.

5.3 No Requirement to Disclose Trade Secrets. You are not required to share confidential trade secrets or proprietary customer data. You are responsible for deciding what to share and for removing sensitive information prior to posting.

5.4 Accuracy and Responsibility. You agree not to knowingly share false, illegal, defamatory, or non-compliant information. You remain responsible for ensuring any strategy you adopt or share is appropriate for your business and compliant with laws, licensing requirements, and advertising regulations.


6. BETA FEATURES, PILOTS, AND EARLY-STAGE DISCLAIMERS

6.1 Beta/Preview Tools. Founding Members may receive access to beta tools and pilot programs. Beta features may be unstable, incomplete, or subject to change, and may be withdrawn at any time.

6.2 Service Credits Not Guaranteed. Unless explicitly stated in writing, disruptions or removal of beta features do not create rights to refunds or credits.

6.3 No Reliance for Critical Operations. You should not rely on beta tools for safety-critical, legally regulated, or mission-critical business operations without independent safeguards.


7. AI-SPECIFIC FOUNDING MEMBER TERMS

7.1 AI as Drafting Assistance Only. AI outputs are drafts and may be inaccurate, incomplete, or non-compliant. You must review, edit, and validate outputs before use.

7.2 Compliance and Claims. You will not use AI tools to generate deceptive advertising, prohibited claims, fake reviews, impersonation content, or anything unlawful.

7.3 Prompt/Output History. Your AI request history is intended to be visible to you; Trade Federation will configure tools to limit cross-member visibility where possible. Admin/moderator access may exist for support, safety, and enforcement.


8. PUBLICITY, BRAND USE, AND “FOUNDING MEMBER” REPRESENTATIONS

8.1 Founding Member Badge and Listing Permission. By joining as a Founding Member, you grant Trade Federation permission to use your business name, logo, general location (city/state), trade category, and “Founding Member” status in member directories and promotional materials, unless you opt out in writing.

8.2 No False Affiliation Claims. You may not represent Trade Federation as your employer, franchisor, or as granting you rights beyond your membership. You may accurately state that you are a “Trade Federation Founding Member” if you remain in good standing.

8.3 Case Studies and Testimonials. Trade Federation may request a testimonial or case study. Any use will require your approval of the final public-facing version (email approval is sufficient), unless you have already provided written permission.


9. CONFIDENTIALITY AND NON-DISCLOSURE (FOUNDING MEMBER SENSITIVITY)

9.1 Confidential Information. During the Founding period you may receive information about: product roadmaps, pricing models, internal playbooks, platform configurations, partner negotiations, or other non-public information (“Confidential Information”).

9.2 Obligation. You agree to keep Confidential Information confidential and not disclose it to third parties, except to your employees/contractors who need to know and are bound by confidentiality obligations.

9.3 Exclusions. Confidential Information does not include information that: (a) is or becomes public without breach, (b) you already lawfully knew, (c) you independently developed, or (d) you receive lawfully from another source without duty of confidentiality.

9.4 Compelled Disclosure. If legally compelled to disclose Confidential Information, you will provide prompt notice (where lawful) so Trade Federation may seek protective measures.


10. FOUNDING MEMBER GOVERNANCE INPUT (NON-BINDING)

10.1 Advisory Input. Founding Members may be invited to provide structured feedback on roadmap, feature priorities, cohort rules, and territory models.

10.2 No Voting Rights Unless Granted. Unless explicitly stated in writing, Founding Members do not have corporate governance rights, equity, voting control, or fiduciary role. Trade Federation may consider input but retains sole decision-making authority.


11. FOUNDING MEMBER PRICING, BILLING, AND REFUND TERMS

11.1 Billing and Renewals. Billing and renewals are governed by the Agreement, plus any Founding-specific terms stated at checkout, except for during the Founding Program, which shall be free of charge.

11.2 No Refunds Except as Required by Law or Explicitly Stated. Unless explicitly stated at purchase or required by law, Founding Member fees are non-refundable, including for partial months/terms.

11.3 Chargebacks. If you initiate a chargeback without first attempting to resolve billing issues through support, Trade Federation may suspend your access pending resolution and may treat repeated chargebacks as a material breach.


12. TRANSFERS, ASSIGNMENT, AND BUSINESS CHANGES

12.1 No Transfer Without Consent. Founding Member status, territory rights, and cohort access are not transferable without Trade Federation’s prior written approval.

12.2 Change of Control. If your business is sold or undergoes a change of control, you must notify Trade Federation. Trade Federation may approve assignment to the successor entity at its discretion, considering eligibility, trade fit, and territory rules.


13. TERMINATION OF FOUNDING MEMBER STATUS

13.1 Termination for Cause. Trade Federation may terminate Founding Member status (and/or membership) for breach of the Agreement, cohort rules, nonpayment, abuse, misconduct, misuse of shared assets, or illegal activity.

13.2 Effect of Termination. Upon termination:
(a) access to Founding benefits ends immediately;
(b) territory reservation may be released;
(c) content licenses and surviving provisions remain in effect as described in the Agreement;
(d) you must discontinue use of any “Founding Member” branding or claims.

13.3 Survival. Sections relating to confidentiality, IP, content license, disclaimers, limitation of liability, indemnification, and dispute resolution survive.


14. ACCEPTANCE

By accepting the Agreement and enrolling as a Founding Member, you acknowledge that you have read and understood this Addendum and agree to be bound by it.
